Please be informed that FCMB Group Plc (''the Company'') has published the Notice of its 8th Annual General Meeting (AGM) which is scheduled to hold at First City Plaza, 44 Marina, Lagos on Wednesday, April 21, 2021 at 11:00am.

Further to the directive of the Federal and State Government on the restriction of social/public gatherings as a result of the COVID-19 pandemic, the company engaged the regulators on the AGM so as to ensure adherence to the regulatory framework while significantly reducing health hazards that could be aggravated by such gatherings.

In view of the above, we are pleased to inform you that the Corporate Affairs Commission has granted approval for the AGM to hold with ATTENDANCE BY PROXIES to minimize physical contacts. Shareholders are therefore advised to kindly appoint proxies to represent them at the meeting, as the Company will be bound by the Lagos State Government's (''LASG'') directive on the maximum number of people permitted in a social/public gathering. In line with this, the number of people that would be allowed into the venue of the AGM will be restricted to the number the LASG permits in a gathering as at the date of the AGM.

Please note that the provisions on quorum for the meeting have been carefully considered with the above measures, as a quorum can be formed either by physical attendance or by proxy.

Shareholders who wish to appoint proxies are expected to send soft copies of their duly executed forms to CardinalStone Registrars via email at registrars@cardinalstone.com, not less than 48 hours before April 21, 2021.
